Welcome to Simple Cosmetics. These Terms and Conditions (these “Terms”) govern your access to and use of SimpleCosmeticsPro.com (the “Site”) and your purchase of any products from Simple Cosmetics (“Simple Cosmetics,” “we,” “us,” or “our”). These Terms apply to all visitors, users, and customers of the Site (“you”).

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SITE OR PLACING AN ORDER. THEY CONTAIN IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS, INCLUDING A DISCLAIMER OF WARRANTIES (SECTION 13), A LIMITATION OF LIABILITY (SECTION 14), AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 19), AND THE GOVERNING LAW AND VENUE FOR DISPUTES (SECTIONS 18–19). BY ACCESSING THE SITE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SITE OR PLACE AN ORDER.

We may revise these Terms at any time by posting an updated version on the Site. Changes take effect when posted, and your continued use of the Site or placement of an order after that time constitutes acceptance of the revised Terms. We encourage you to review these Terms each time you shop.

1. Definitions

For purposes of these Terms:

• “Products” means the cosmetic and personal-care products offered for sale by Simple Cosmetics through the Site.
• “Order” means your request to purchase Products submitted through the Site.
• “Content” means all text, images, graphics, logos, designs, and other materials appearing on the Site, other than User Content.
• “User Content” means any review, rating, photo, comment, or other content you submit to or through the Site.

2. Eligibility and Use of the Website

2.1. Age. You must be at least eighteen (18) years old to use the Site or place an Order. By using the Site or placing an Order, you represent and warrant that you are at least eighteen (18) years of age.

2.2. Accurate information. You agree that all information you provide during checkout or account creation is accurate, current, and complete, and that you will keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2.3. Lawful use. You agree not to use the Site for any unlawful or unauthorized purpose, or in any manner that could damage, disable, or impair the Site or interfere with any other party’s use of it.

2.4. Right to refuse service. Simple Cosmetics reserves the right to refuse service, terminate accounts, or cancel Orders at our discretion, including where we believe these Terms have been violated or where information provided is inaccurate, incomplete, or fraudulent.

3. Electronic Communications

3.1. By using the Site, creating an account, or placing an Order, you consent to receive communications from us electronically, including by email or by notices posted on the Site, and you agree that all such communications satisfy any legal requirement that they be in writing.

3.2. If you opt in to receive text messages from us, message and data rates may apply, and you may opt out at any time by following the instructions provided in the message or by contacting us using the details in Section 21.

4. Product Information and Pricing

4.1. We strive to ensure that all Product descriptions, images, and prices on the Site are accurate. However, errors may occasionally occur, and we do not warrant that Product descriptions, images, pricing, or other Content is accurate, complete, current, or error-free.

4.2. Simple Cosmetics reserves the right to: (a) correct any pricing or Product-description errors; (b) update Product information at any time without prior notice; and (c) refuse or cancel any Order placed for a Product listed at an incorrect price, whether or not the Order has been confirmed and your payment method charged.

4.3. If your Order is canceled due to a pricing error and your payment has already been processed, we will issue a full refund of the amount charged.

5. Order Acceptance and Cancellation

5.1. Your Order is an offer to buy. Your receipt of an order-confirmation email confirms only that we have received your Order; it does not constitute our acceptance of the Order.

5.2. Simple Cosmetics reserves the right, in our sole discretion, to: (a) accept or decline any Order; (b) limit the quantity of any Product purchased per customer or per Order; and (c) cancel any Order we suspect involves fraud or unauthorized activity.

6. Payment

6.1. We accept the payment methods identified at checkout. You represent and warrant that the payment information you provide is true, correct, and complete, and that you are authorized to use the payment method.

6.2. You authorize us to charge your payment method for the total amount of your Order, including Products, applicable taxes, and any shipping and handling charges disclosed at checkout.

7. Shipping and Delivery

7.1. Orders are processed as quickly as possible once payment is confirmed. Orders are typically processed within one (1) business day. Orders are not processed or shipped on weekends or holidays.

7.2. Shipping times provided during checkout are estimates only and are not guaranteed. Unless otherwise stated, title and risk of loss pass to you upon our delivery of the Products to the carrier.

7.3. Simple Cosmetics is not responsible for shipping delays or damage caused by carriers, weather, or other factors outside our reasonable control.

7.4. Unless otherwise stated at checkout, we ship only to addresses within the United States. If we make international shipping available for your Order, you are responsible for any customs duties, import taxes, and additional fees imposed by the destination country, and for compliance with its import laws.

8. Returns, Refunds, and Cancellations

8.1. You may cancel an Order at any time before it ships by contacting us at [email protected].

8.2. For hygiene and safety reasons, certain Products may be designated as non-returnable, and opened or used Products may not be eligible for return. Except for Products so designated, we will accept a return for a refund of the purchase price, less original shipping and handling, provided the return is made within 30 days of delivery, with valid proof of purchase, and the Product is unopened and in its original condition.

8.3. To return a Product, you must first contact us at [email protected] to obtain return instructions. You are responsible for return shipping charges and bear the risk of loss during return shipment unless the return results from our error or a defective Product. Approved refunds are issued to the original payment method.

9. Product Use; Cosmetic Disclaimer

9.1. All Products sold by Simple Cosmetics are intended for cosmetic and personal-care use only and must be used only as directed.

9.2. The Products are cosmetics, not drugs. The statements on the Site have not been evaluated by the U.S. Food and Drug Administration. The Products are not intended to diagnose, treat, cure, or prevent any disease or medical condition, and nothing on the Site is medical advice.

9.3. Ingredient review and patch testing. You are responsible for reviewing each Product’s ingredients before use and for determining whether the Product is suitable for you, particularly if you have known allergies or sensitivities. We recommend performing a patch test before first use.

9.4. Discontinue use; report reactions. If irritation, discomfort, or an adverse reaction occurs, discontinue use immediately and, if the reaction is serious, seek medical attention. You may report an adverse reaction to us at [email protected] or 1-877-711-0702.

10. User Content

10.1. If the Site permits you to submit reviews, ratings, photos, comments, or other User Content, you grant Simple Cosmetics a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, adapt, publish, translate, and display your User Content in any media, in connection with operating and promoting the Site and our Products.

10.2. You represent that you own or otherwise control all rights in your User Content, that it is accurate, and that its use as authorized in Section 10.1 will not violate these Terms, any applicable law, or the rights of any third party.

10.3. We may, but are not obligated to, monitor, edit, refuse to post, or remove any User Content at our sole discretion, including content we consider inappropriate, inaccurate, or in violation of these Terms.

11. Intellectual Property

11.1. All Content on the Site — including logos, product images, text, graphics, and website design — is the property of Simple Cosmetics or its licensors and is protected by copyright, trademark, and other laws.

11.2. You may access and use the Content solely for the purpose of shopping on the Site or placing an Order. No Content may be copied, reproduced, modified, republished, distributed, or otherwise used without our prior written permission. Any unauthorized use of the Content may violate copyright, trademark, or other applicable laws.

12. Third-Party Links

The Site may contain links to third-party websites. Simple Cosmetics does not control and is not responsible for the content, policies, or practices of any third-party website. Links are provided for convenience only and do not imply our endorsement.

13. DISCLAIMER OF WARRANTIES

13.1. THE PRODUCTS AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPLE COSMETICS DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO THE PRODUCTS AND THE SITE.

13.2. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY PRODUCT WILL MEET YOUR EXPECTATIONS OR ACHIEVE ANY PARTICULAR RESULT.

13.3. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS AFFECTS ANY NON-WAIVABLE STATUTORY RIGHTS YOU MAY HAVE AS A CONSUMER.

14. LIMITATION OF LIABILITY

14.1. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIMPLE COSMETICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS, THE PRODUCTS, OR THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14.2. WITHOUT LIMITING SECTION 14.1, AND TO THE FULLEST EXTENT PERMITTED BY LAW, OUR LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO (A) YOUR USE OR MISUSE OF ANY PRODUCT; (B) YOUR FAILURE TO REVIEW PRODUCT INGREDIENTS OR FOLLOW PRODUCT DIRECTIONS; OR (C) ANY INTERRUPTION, ERROR, OR TECHNICAL ISSUE AFFECTING THE SITE, IS LIMITED TO DIRECT DAMAGES ACTUALLY INCURRED, SUBJECT TO THE CAP IN SECTION 14.3.

14.3. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS, THE PRODUCTS, OR THE SITE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

14.4. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for personal injury or death caused by our negligence, for fraud, or for any other liability that applicable law does not permit us to disclaim. The limitations in this Section 14 do not apply to such liability.

15. Assumption of Risk and Customer Responsibility

You are responsible for using the Products safely, as directed, and in a manner suitable to your individual skin type, allergies, and sensitivities. Subject to Section 14.4, you agree that your use of the Products is undertaken in reliance on your own judgment and at your own risk with respect to matters within your control, such as ingredient suitability and adherence to Product directions.

16. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Simple Cosmetics and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your misuse of any Product or the Site; or (c) your violation of any applicable law or the rights of any third party.

17. Taxes

Sales tax may be applied to Orders depending on the shipping destination and applicable state and local laws, and any such tax will be calculated and added at checkout. You are responsible for any additional taxes or fees required by the laws applicable to you.

18. Privacy

We collect and use personal information — including your name, contact information, shipping and billing address, and payment information — to process and fulfill your Orders, communicate with you, and operate the Site. Our collection, use, sharing, and protection of your personal information, and any rights you may have regarding it, are described in our Privacy Policy, which is incorporated into these Terms by reference.

19. Governing Law

These Terms, and any dispute arising out of or relating to these Terms, the Products, or the Site, are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-laws principles.

20. Dispute Resolution; Arbitration Agreement; Class Action Waiver

20.1. Agreement to Arbitrate. Except as set out in this Section 20, you and Simple Cosmetics agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Products, or the Site will be resolved by binding, individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may bring an individual claim in small claims court if it qualifies.

20.2. Class Action Waiver. Disputes will be resolved on an individual basis only. Neither you nor Simple Cosmetics may bring a claim as a plaintiff or class member in any purported class, collective, or representative proceeding, and an arbitrator may not consolidate more than one person’s claims.

20.3. Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days of the date you first accept these Terms, identifying your name and stating your intent to opt out of arbitration. If you opt out, this arbitration agreement will not apply to you, but the remainder of these Terms will continue to apply.

20.4. Venue for Non-Arbitrable Claims. If this arbitration agreement is found unenforceable as to a particular claim, or if you have opted out under Section 20.3, that claim will be brought exclusively in the state or federal courts located in Palm Beach County, Florida, and you consent to the personal jurisdiction of those courts.

20.5. Nothing in this Section 20 limits any non-waivable right you may have to bring a claim in another forum where applicable law so provides.

21. Changes to These Terms

Simple Cosmetics reserves the right to update or modify these Terms at any time. Revised Terms are effective when posted on the Site, and the “Last Updated” date above indicates when they were most recently revised. Your continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

22. General Provisions

22.1. Entire Agreement. These Terms, together with any order confirmation and our Privacy Policy, constitute the entire agreement between you and Simple Cosmetics regarding the Site and your purchase of Products, and supersede all prior understandings.

22.2. Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

22.3. No Waiver. Our failure to enforce any provision of these Terms is not a waiver of that provision or of any other right.

22.4. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

22.5. Force Majeure. Simple Cosmetics is not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, severe weather, carrier delays, labor disputes, supply-chain disruptions, or governmental action.

22.6. Headings. Headings are for convenience only and do not affect the interpretation of these Terms.
